SUPPLIERS SERVICE AGREEMENT + NDA
It is understood and agreed to that the following agreement is mandatory to work as a supplier for Prelude Events. Supplier Name will be provided information by Prelude Events that is and must be kept confidential. To ensure the protection of such information, and to preserve any confidentiality necessary under intellectual property laws, it is agreed that;
- The Confidential Information to be disclosed can be described as and includes:
Access to confidential client information and data, proprietary text and design, clients or suppliers mentioned, photos, videos and all visual images, services, research and development shared in the proposal process, regardless of whether such information is designated as “Confidential Information” at the time of its disclosure is between Supplier Name and Prelude Events and at no time shall Supplier Name directly contract the clients or suppliers mentioned in Prelude Events correspondences or engage another agency not owned or affiliated with Prelude Events to contract clients or suppliers mentioned by Prelude Events.
- The Recipient agrees not to disclose the confidential information obtained from the discloser to anyone but Supplier Name, unless required to do so by express written permission by Prelude Events.
- All photos and hashtags associated with Prelude Events client for whom Supplier Name has been hired by Prelude Events to deliver services is prohibited to use our client’ logo or name to promote your services. Event photos whereupon you have been hired by Prelude Events must be approved by Prelude Events prior to publishing wendy@preludeevents.com and once approved can only reference Prelude Events as your employer on the project and not the client or clients of Prelude Events.
- During Onsite Operations: set-up process, event and post event; the staff members of Supplier Name will not use any garment or accessory with the name of their own company. Supplier Name understand that all staff must look presentable and nicely dressed accordingly with the event needs and the specific planner requirements.
- Below supplier must provide a Certificate of Insurance: a document which provides evidences that an insurance policy exists and provides information such as insurance agency, type of insurance, policy numbers, effective dates, limits, certificate holder, cancellation procedure, special Provisions, e.g., additional insured, and the name of the representative authorizing the policy.
- This document solidifies % of commission agreed to by both parties and is to be paid Prelude Events for the net value of business provided to below mentioned supplier.
- This agreement between Prelude Events and below mentioned supplier will be valid for a period of 18 months (1.5 year) since the contract signature.
WHEREFORE, the parties acknowledge that they have read and understand this Agreement and voluntarily accept the duties and obligations set forth herein.
